All users agree to this when submitting their fifty percent deposit as well as when they choose to go with our services<\/span><\/p>

**All Engineered Terms of Service**<\/span><\/strong><\/p>

Welcome to All Engineered! We’re glad to have you here. Before we begin, please review the following terms and conditions that define our working relationship.<\/span><\/p>

**Monthly Maintenance Fee Agreement**<\/span><\/strong><\/span><\/h3>

As part of our ongoing commitment to providing exceptional web design and maintenance services, all clients agree to a monthly maintenance fee of $25. This fee covers regular updates, security monitoring, and technical support to ensure your website remains functional, secure, and up-to-date.<\/span><\/p>

By agreeing to our web design services, you acknowledge and accept this monthly maintenance fee, which will be billed automatically each month.<\/span><\/p>

This fee can only be canceled if approved by us and only after the first month of service. Requests for cancellation must be submitted in writing and will be reviewed on a case-by-case basis.<\/span><\/p>

**1. Payment Policy**<\/strong><\/span><\/p>

Our payment structure is two-fold: a non-refundable deposit of 50% is required at the onset of the project. The balance payment is due upon project completion. Please note that the initial deposit serves as a commitment to the project and is, therefore, non-refundable.<\/span><\/p>

Payment Policy: At the time of contract signing, an initial non-refundable deposit of 50% is required, with the balance due upon project completion. Payments can be made via invoice, accepting credit or debit cards, PayPal, and Zelle. The use of these payment methods ensures the safety and security of your transactions.\u00a0<\/span><\/p>

**2. Scope of Service**<\/strong><\/span><\/p>

At All Engineered, we’re committed to delivering a tailored service that fits your needs. The scope of services will be outlined and detailed in our contract to ensure transparency and understanding. Any extra services not initially agreed upon or included in the contract will be considered additional. This may include a complete redesign or a service outside of the original agreement. These services will incur extra charges and will be subject to prior notification and approval.<\/span><\/p>

**3. Ownership and Hosting**<\/strong><\/span><\/p>

We believe that you should have full control over your website. Therefore, if you decide to host, maintain, and SEO optimize the site independently, you’re entitled to do so. Once you’ve fulfilled your payment obligations, all content rights and ownership of the website are retained by you.<\/span><\/p>

**4. Subscriptions**<\/strong><\/span><\/p>

All Engineered also offers a variety of extra services available through a monthly subscription model. You may cancel these subscriptions at any time without any extra fees. To activate these subscriptions, the first month\u2019s payment is required upfront. Please note, we do not offer free trials for these services. In the event of non-payment or payment issues, we reserve the right to cancel your subscription.<\/span><\/p>

**5. Maintenance & Hosting**<\/strong><\/span><\/p>

Our maintenance service includes regular website updates, error corrections, and site optimization. This ensures that your website runs smoothly and stays up-to-date. However, requests that fall outside of this scope may need a separate agreement, and we would be happy to discuss this with you.<\/span><\/p>

These Terms of Service may be updated periodically, and we will inform you of any significant changes.<\/span><\/p>

Electronic Communications<\/strong><\/span>
Visiting allengineerd.com or sending emails to AED constitutes electronic communications. You<\/span>
consent to receive electronic communications and you agree that all agreements, notices,<\/span>
disclosures and other communications that we provide to you electronically, via email and on the<\/span>
Site, satisfy any legal requirement that such communications be in writing.<\/span><\/p>

Children Under Thirteen<\/strong><\/span>
AED does not knowingly collect, either online or offline, personal information from persons under<\/span>
the age of thirteen. If you are under 18, you may use allengineerd.com only with permission of a<\/span>
parent or guardian.<\/span><\/p>

Links to Third Party Sites\/Third Party Services<\/strong><\/span>
allengineerd.com may contain links to other websites (“Linked Sites”). The Linked Sites are not<\/span>
under the control of AED and AED is not responsible for the contents of any Linked Site,<\/span>
including without limitation any link contained in a Linked Site, or any changes or updates to a<\/span>
Linked Site. AED is providing these links to you only as a convenience, and the inclusion of any<\/span>
link does not imply endorsement by AED of the site or any association with its operators.<\/span><\/p>

Certain services made available via allengineerd.com are delivered by third party sites and<\/span>
organizations. By using any product, service or functionality originating from the allengineerd.com<\/span>
domain, you hereby acknowledge and consent that AED may share such information and data with<\/span>
any third party with whom AED has a contractual relationship to provide the requested product,<\/span>
service or functionality on behalf of allengineerd.com users and customers.<\/span><\/p>

No Unlawful or Prohibited Use\/Intellectual Property<\/strong><\/span>
You are granted a non-exclusive, non-transferable, revocable license to access and use<\/span>
allengineerd.com strictly in accordance with these terms of use. As a condition of your use of the<\/span>
Site, you warrant to AED that you will not use the Site for any purpose that is unlawful or<\/span>
prohibited by these Terms. You may not use the Site in any manner which could damage, disable,<\/span>

AED content is not for resale. Your use of the Site does not entitle you to make any unauthorized<\/span>

International Users<\/strong><\/span>
The Service is controlled, operated and administered by AED from our offices within the USA. If<\/span>
you access the Service from a location outside the USA, you are responsible for compliance with<\/span>
all local laws. You agree that you will not use the AED Content accessed through allengineerd.com<\/span>
in any country or in any manner prohibited by any applicable laws, restrictions or regulations.<\/span><\/p>

Indemnification<\/strong><\/span>
You agree to indemnify, defend and hold harmless AED, its officers, directors, employees, agents<\/span>
and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney’s<\/span>
fees) relating to or arising out of your use of or inability to use the Site or services, any user<\/span>
postings made by you, your violation of any terms of this Agreement or your violation of any rights<\/span>
of a third party, or your violation of any applicable laws, rules or regulations. AED reserves the<\/span>
right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject<\/span>
to indemnification by you, in which event you will fully cooperate with AED in asserting any<\/span>
available defenses.<\/span><\/p>

Arbitration<\/strong><\/span>
In the event the parties are not able to resolve any dispute between them arising out of or<\/span>
concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or<\/span>
otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved<\/span>
only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single<\/span>
neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration<\/span>
service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s<\/span>
award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the<\/span>
event that any legal or equitable action, proceeding or arbitration arises out of or concerns these<\/span>
Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable<\/span>
attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and<\/span>
Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or<\/span>
indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree<\/span>
that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The<\/span>
entire dispute, including the scope and enforceability of this arbitration provision shall be<\/span>
determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms<\/span>
and Conditions.<\/span><\/p>

Class Action Waiver<\/strong><\/span>
Any arbitration under these Terms and Conditions will take place on an individual basis; class<\/span>
arbitrations and class\/representative\/collective actions are not permitted. THE PARTIES AGREE<\/span>
THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S<\/span>
INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY<\/span>
PUTATIVE CLASS, COLLECTIVE AND\/ OR REPRESENTATIVE PROCEEDING, SUCH<\/span>
AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE<\/span>
OTHER. Further, unless both you and AED agree otherwise, the arbitrator may not consolidate<\/span>
more than one person’s claims, and may not otherwise preside over any form of a representative<\/span>
or class proceeding.<\/span><\/p>

Liability Disclaimer<\/strong><\/span>
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR<\/span>
AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR<\/span>
TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE<\/span>
INFORMATION HEREIN. ALL ENGINEERD AND\/OR ITS SUPPLIERS MAY MAKE<\/span>
IMPROVEMENTS AND\/OR CHANGES IN THE SITE AT ANY TIME.<\/span><\/p>

ALL ENGINEERD AND\/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT<\/span>
THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY<\/span>
OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED<\/span>
GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM<\/span>
EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION,<\/span>
SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS<\/span>
IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. ALL ENGINEERD<\/span>
AND\/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS<\/span>
WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND<\/span>
RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS<\/span>
OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND<\/span>
NON-INFRINGEMENT.<\/span><\/p>

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT<\/span>
SHALL ALL ENGINEERD AND\/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT,<\/span>
INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR<\/span>
ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES<\/span>
FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY<\/span>
CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY<\/span>
OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR<\/span>
FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE,<\/span>

ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL<\/span>
OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.<\/span>
IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF<\/span>
THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO<\/span>

Termination\/Access Restriction<\/strong><\/span>
AED reserves the right, in its sole discretion, to terminate your access to the Site and the related<\/span>
services or any portion thereof at any time, without notice. To the maximum extent permitted by<\/span>
law, this agreement is governed by the laws of the State of New Jersey and you hereby consent to<\/span>
the exclusive jurisdiction and venue of courts in New Jersey in all disputes arising out of or relating<\/span>
to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to<\/span>
all provisions of these Terms, including, without limitation, this section.<\/span><\/p>

You agree that no joint venture, partnership, employment, or agency relationship exists between<\/span>
you and AED as a result of this agreement or use of the Site. AED’s performance of this<\/span>
agreement is subject to existing laws and legal process, and nothing contained in this agreement is<\/span>
in derogation of AED’s right to comply with governmental, court and law enforcement requests or<\/span>
requirements relating to your use of the Site or information provided to or gathered by AED with<\/span>
respect to such use. If any part of this agreement is determined to be invalid or unenforceable<\/span>
pursuant to applicable law including, but not limited to, the warranty disclaimers and liability<\/span>
limitations set forth above, then the invalid or unenforceable provision will be deemed superseded<\/span>
by a valid, enforceable provision that most closely matches the intent of the original provision and<\/span>
the remainder of the agreement shall continue in effect.<\/span><\/p>

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user<\/span>
and AED with respect to the Site and it supersedes all prior or contemporaneous communications<\/span>
and proposals, whether electronic, oral or written, between the user and AED with respect to the<\/span>
Site. A printed version of this agreement and of any notice given in electronic form shall be<\/span>
admissible in judicial or administrative proceedings based upon or relating to this agreement to the<\/span>
same extent and subject to the same conditions as other business documents and records originally<\/span>
generated and maintained in printed form. It is the express wish to the parties that this agreement<\/span>
and all related documents be written in English.<\/span><\/p>

Changes to Terms<\/strong><\/span>
AED reserves the right, in its sole discretion, to change the Terms under which allengineerd.com is<\/span>
offered. The most current version of the Terms will supersede all previous versions. AED<\/span>
